Account Holder - The individual or organisation currently receiving one or more of UH Hosting Ltd's services.

Purchaser - The individual or organisation purchasing one or more services from UH Hosting Ltd

Services - Bluguy provides website hosting, and reseller website hosting packages.

Use of account

Accounts are for the use of the Account Holder only. Account Holders are not permitted to "borrow", "lend" or "sell", web space or resources to any third party.

Termination of Contract by UH Hosting Ltd

UH Hosting Ltd Limited reserve the right to suspend or cancel with immediate effect, access to any service should UH Hosting Ltd Limited decide the account is being used inappropriately e.g. by trading in or displaying prohibited material (see below) or for non-settlement, the account may be suspended or cancelled with immediate effect and without notice or refund. Such decision would be entirely at the discretion of UH Hosting Ltd.

Indemnification

Customer agrees that it shall defend, indemnify, save and hold UH Hosting Ltd Limited harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against UH Hosting Ltd Limited, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless UH Hosting Ltd Limited against liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with UH Hosting Ltd Limited's services; (2) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to customer from UH Hosting Ltd Limited's services

Refusal of service

UH Hosting Ltd reserve the right to refuse service at its discretion and without explanation to any other party.

Prohibited Material

UH Hosting Ltd Limited will refuse service and/or access to any party, should they deem the application inappropriate, such as a Purchaser wishing to host pornography or "warez".

The following material is strictly prohibited:

Illegal Material

This includes but is not limited to copyrighted works, commercial audio, video, or music files, "mp3's", ".exe files" and any material in violation of any Federal, State or Local regulation.

Adult Material

This includes but is not limited to ALL pornography, erotic images and media, and any other obscene material. The definition of "Adult Material" shall be entirely at the discretion of UH Hosting Ltd Limited.

Warez

This includes but is not limited to pirated software, ROMS, emulators, phreaking, hacking, password cracking. IP spoofing, etc., and encrypting of any of the above. This also includes links to any sites that mention or contain the above.

Spam and Unsolicited Material

We have a ZERO TOLERANCE towards 'spam' and unsolicited email. Any accounts found using our services to send unsolicited material will be terminated with immediate effect. Offending customers will not be issued a refund either in full or part, and any costs associated with the actual or attempted mailing shall be recoverable in full from the Account Holder.

Bandwidth

Customers purchase an allocated quantity of bandwidth on sign up. In the event of the customer exceeding the bandwidth permitted, the account will be temporarily suspended until more bandwidth is purchased. No refund nor extension of service shall be due for the period during which the account is suspended.

Loss of Customer's Data

UH Hosting Ltd Limited does not keep backups of customer's data. UH Hosting Ltd Limited strongly advises customers to keep regular and current backups to guard against potential loss of data. Backups of data will not be the responsibility of UH Hosting Ltd.

Consequential Loss and Compensation

UH Hosting Ltd's accepts no liability for any loss howeverso arising suffered as a result of any failure or fault in the service provided by UH Hosting Ltd. Any compensation shall be at the discretion of UH Hosting Ltd and shall not exceed the pro-rata value of the loss of service provided. This compensation may take the form of an extension of the defective service or substitution with another service of equal or higher value or cash all at the discretion of UH Hosting Ltd.

Cancellations and Refunds

UH Hosting Ltd Limited reserves the right to cancel the service and access to the service at any time at UH Hosting Ltd Limited's discretion. In this event customers will be entitled to a pro rata refund based upon the remaining period of membership. If a customer contravenes UH Hosting Ltd Limited's terms of service a refund will NOT be issued in the event of a cancellation.

Customers may cancel their service at any time. In this event, all start-up incentives and loyalty schemes will be cancelled without refund.

Fees charged on a pro-forma basis are non-refundable. In addition some accounts incur set-up fees, these charges are also non-refundable.

Payment

Accounts may be paid either monthly, quarterly, bi-annually or annually. Payment can be made by credit card, cheque or bank transfer. Other payment methods are permitted at the discretion of UH Hosting Ltd Limited. Service will start from the date of payment clearing in UH Hosting Ltd Limited's bank account. In the case of payment by cheque, service will resume when the cheque clears.

In the case of payment not being received on the due date, UH Hosting Ltd Limited reserve the right to cancel or suspend service and access, until the debt is settled. In the event of the funds not clearing and charges being made to UH Hosting Ltd as a result of this non-clearance then such costs shall be due from the customer over and above the fees for UH Hosting Ltd's services.

All payments are to be made in Pounds Sterling (£) - any costs associated with the conversion to Sterling being borne by the Purchaser.

General Disclaimer

UH Hosting Ltd Limited will not be responsible for any damages your business may suffer. UH Hosting Ltd Limited makes no warranties of any kind, expressed or implied for the services we provide nor for its proposed fitness of use for any specific purpose. UH Hosting Ltd Limited disclaims any warranty or merchantability or fitness for a particular purpose. The includes loss of data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by UH Hosting Ltd Limited and its employees. UH Hosting Ltd Limited reserves the right to revise its policies at any time.

Alterations

No alteration or amendment to this contract shall be deemed to exist without the written agreement of a director of UH Hosting Ltd.

UH Hosting Ltd reserve the right to review and amend these terms and conditions at any time. It is the account holder's responsibilty to regularly check and review the terms and conditions for alterations.
